allocates shares as a rights issue

Haad Thip Plc (HTC) will allocate a total of 3,320,312 shares at a Bt10 par, worth Bt33,203,120 as a rights issue at the ratio of four old shares to one new share at Bt20.00 apice. The subscription and payment date will be from June 17-25, 1996. The registrar book will be closed for rights to subscribe to new shares on May 20, 1996. In case there are any remaining shares, the company's board will consider allocating them accordingly. There are still 8,398,438 shares at a Bt10 par left to be allocated. HTC said that the general shareholders' meeting no.18/2539 will be held at 2.30 pm. on April 29, 1996 at Asia Room, Landmark Hotel, 138, Sukhumvit Road, Bangkok 10110. The company's registrar book will be closed for rights to attend the meeting at noon on April 9, 1996 until the meeting finishes. HTC said that the purpose of the capital increase is to use the proceeds to partly finance the construction of a new plant at Surat Thani province. The project initially requires an investment of about Bt300 million and is expected to be completed by the end of 1997 and will begin generating profits for the company round early 1998. The machineries to be used in this new project will be able to cope up with the market's rapid growth, said PCM. The value of the machineries will be around Bt200-230 million. Other costs including the buildings, and other equipment will equal Bt70-100 million. The source of fund for the investment will be from the company's accumulated profits, proceeds, and the loans from financial institutions. HTC said the company has the policy to pay dividend at the rate of 50- 85% of the net profit under the normal operating condition. The payment will be paid at least twice a year around May.
